Evergreen Theragnostics, a leading pharmaceutical company in the research and development of radiopharmaceuticals for cancer treatment, founded in 2019 in the United States by James Cook, Enrico De Maria and other Italian and international investors, will be fully acquired by Lantheus Holdings Inc, a leading company in the radiopharmaceutical sector, committed to helping doctors identify, fight and monitor diseases to ensure better patient outcomes, with an initial payment of $250 million, to which could be added milestone-related payments up to a maximum of $752.5 million.
The objective of the acquisition is to transform Lantheus into a fully integrated company in the radiopharmaceuticals sector. The transaction offers significant strategic advantages, including Evergreen’s scalable manufacturing infrastructure, CDMO services, and OCTEVY,™ a registration-stage diagnostic agent for neuroendocrine tumors, that integrates with Lantheus’ PNT2003 therapeutic candidate. The acquisition also strengthens Lantheus’ oncology portfolio, including several therapeutic and diagnostic pairs in the clinical and pre-clinical phases. The transaction is expected to close in the second half of 2025, subject to the satisfaction of standard conditions.
Evergreen managed during the pandemic period to develop its plant, the first products and quickly established itself as a leader in the nuclear medicine sector. The transaction will enable the company to accelerate the development of new radiation oncology drugs, expanding access to life-saving treatments for patients around the world.
Club degli Investitori members have believed in the initiative since the 2020 Seed round and reinvested increasing amounts in the next 2 rounds for a total of more than $5 million. The transaction was followed by the Club degli Investitori team and finalized with Simon Fiduciaria.
